These Terms of Service (the "Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") offered by 21st Care, Inc. ("21st Care," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. These Terms are provided for informational purposes and are intended to be a general example only.

Use of the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You are responsible for maintaining the confidentiality of any credentials associated with your account and for all activity that occurs under it.

You agree not to:

• Use the Services in violation of applicable law or regulation
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Copy, modify, or create derivative works of the Services except as permitted in writing

Customer Data and Protected Health Information

You retain all rights to the data you submit to the Services ("Customer Data"). Where the Services are used to process protected health information (PHI), that processing is governed by a separate Business Associate Agreement between you and 21st Care, and by applicable healthcare privacy laws. Our handling of personal information is further described in our Privacy Policy.

Intellectual Property

The Services, including all software, designs, text, and other content provided by 21st Care, are and remain the exclusive property of 21st Care and its licensors. Except for the limited rights expressly granted in these Terms, no rights in the Services are granted to you.

Fees and Payment

Certain Services may be subject to fees as described in an applicable order form or subscription agreement. Unless otherwise stated, fees are non-refundable and exclusive of taxes.

Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Services do not provide medical advice and are not a substitute for professional clinical judgment.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, and each party's aggregate liability arising out of or relating to these Terms will not exceed the amounts paid or payable by you for the Services in the twelve months preceding the claim.

Term, Termination, and Changes

These Terms remain in effect while you use the Services. We may suspend or terminate access to the Services for material breach of these Terms. Upon termination, your right to use the Services ceases, though provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. Any changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of the Services after any changes indicates acceptance of the updated Terms.

Governing Law and Contact
